DISCLOSURE CONTROL AND PROCEDURES
FORM N-PX 

PROXIES:  VOTING 

Voting of Proxies.   After discussion, the Pearl Mutual Fund's Board by unanimous vote adopted this resolution:

RESOLVED, that proxies received with respect to portfolio securities held by each of Pearl Total Return Fund and Pearl Aggressive Growth Fund shall be voted by the Trust’s Manager, Pearl Management Company, in the manner required by applicable law or in accordance with the Manager’s judgment to the extent that the applicable law permits exercise of judgment.

 Investment Company Act of 1940 provides in 12d1E(iii)(aa):

 ..to vote the shares held by it in the same proportion as the vote of all other holders of such security, …

Procedures:

All proxy requests are reviewed by the Compliance Associate.  Anything out of the ordinary is referred to either the Executive Vice President or the Senior Portfolio Manager for review.

All proxy votes are entered on a spreadsheet in the format of the N-PX form.  

Both funds cast their votes as follows:  In accordance with Section 12(d)(l)(f) of the Investment Company Act of 1940, voted shares in the same proportion as the vote of all other shareholders.
